1. Agreement to Terms

By accessing or using FoxTrove's website at foxtrove.ai and our AI-powered services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Services

FoxTrove provides AI-powered tools and services designed to help service businesses capture more revenue, reduce missed opportunities, and automate routine tasks. Our Services include but are not limited to:

  • AI receptionist and call handling tools
  • Appointment scheduling and reminder systems
  • Revenue analysis calculators
  • Business automation consulting

3. User Accounts and API Keys

Your OpenAI API Key

To use certain features of our Services, you must provide your own OpenAI API key. By providing your API key, you:

  • Confirm you have a valid OpenAI account and API key
  • Agree to OpenAI's Terms of Use and Usage Policies
  • Accept responsibility for all API usage charges from OpenAI
  • Understand that FoxTrove is not responsible for OpenAI service disruptions or changes

Account Security

You are responsible for maintaining the confidentiality of your account credentials and API keys. You agree to notify us immediately of any unauthorized access or use of your account.

4. Fees and Payment

FoxTrove's core tools are provided free of charge. However:

  • API Costs: You are responsible for all costs associated with your OpenAI API usage. These charges are billed directly by OpenAI, not FoxTrove.
  • Premium Services: Certain premium features or consulting services may require payment. Pricing will be clearly communicated before any charges are incurred.
  • Elite Partnership: The Elite Partnership Program has separate terms and pricing that will be provided during the application process.

5. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Send spam or unsolicited communications
  • Distribute malware or engage in phishing
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Services
  • Reverse engineer or decompile any part of our Services
  • Use the Services for any illegal or fraudulent purpose

6. Intellectual Property

The Services, including all content, features, and functionality, are owned by FoxTrove and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our written permission.

You retain ownership of any content you submit through our Services. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely for the purpose of providing the Services to you.

7. AI-Generated Content

Our Services use artificial intelligence to generate content and provide recommendations. You acknowledge that:

  • AI-generated content may not always be accurate, complete, or appropriate
  • You are responsible for reviewing and verifying any AI-generated content before use
  • FoxTrove is not liable for decisions made based on AI-generated recommendations
  • AI outputs should not be considered professional advice (legal, financial, medical, etc.)

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, FOXTROVE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF RESULTS
  • UNINTERRUPTED OR ERROR-FREE OPERATION

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOXTROVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO FOXTROVE (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless FoxTrove and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services or violation of these Terms.

11. Termination

We may terminate or suspend your access to the Services at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
